Terms of Service

These terms govern your use of the KIAgent website and the optional account and remote-access service operated by us (together, the “Service”). By creating an account or using the Service you agree to these terms. If you do not agree, do not use the Service.

1. The software vs. the Service

The KIAgent desktop application is open-source software. Your rights to use, copy, modify and distribute the application are governed by the open-source licence published in its source-code repository, not by these terms. These terms apply only to the hosted parts we operate — this website, account sign-in, and the optional remote-access service. A local, offline installation of the application needs no account and is not subject to these terms.

2. The Service

KIAgent is local-first. When you connect a source, the application reads that content and builds a searchable index on your own device. That content stays on your device — see our Privacy Policy for details. The Service we operate is limited to:

  • hosting this website and authenticating your account;
  • provisioning a personal address for each device you link (e.g. you.localkiagent.com) and coordinating the issuance of its TLS certificate by a public certificate authority;
  • operating a connection relay that forwards encrypted connections from clients you authorise to your device. The relay routes by hostname and cannot decrypt the traffic; your data is not stored on, and cannot be read by, our servers.

Enabling remote access publishes your personal address in public certificate-transparency records, and the address contains a fragment of your email address — this is described in the Privacy Policy, section 7, and you accept it when you switch remote access on.

3. Eligibility and account

You must be at least 18 years old and able to enter into a binding contract to use the Service. When you create an account you agree to provide accurate information and to keep your sign-in credentials secure. You are responsible for activity that occurs under your account.

4. Early release

KIAgent is in early development. The Service is provided on an as-available basis, may change or be discontinued, and may contain errors or interruptions. We do not guarantee any particular level of availability, uptime, or feature stability.

5. Your responsibilities

When using the Service, you agree that:

  • you will only connect, index, and access data that you own or are otherwise entitled to access;
  • your use of any connected third-party service remains subject to that provider’s own terms and policies, and you are responsible for complying with them;
  • you will not use the Service for any unlawful purpose, or to process data in violation of the rights of others;
  • you are responsible for securing the device that holds your index — including your operating-system account and, where appropriate, full-disk encryption — and for who you authorise to connect to your index. Software running on your machine can reach the local interface; keeping your machine free of untrusted software is your responsibility;
  • if your data or your authorised clients’ use of it is subject to specific legal regimes (for example professional secrecy or data you process on behalf of others), you are responsible for ensuring that connecting and querying that data is permitted.

6. Acceptable use of the remote service

If you enable remote access, you additionally agree not to:

  • attempt to access, probe, or disrupt devices or personal addresses belonging to other users;
  • use the relay to serve or distribute content unrelated to its purpose of connecting your authorised clients to your own index, or to transmit unlawful content;
  • circumvent rate limits, certificate-issuance limits, or other technical safeguards of the Service.

We may revoke device certificates, release personal addresses, or suspend accounts where this is necessary to stop abuse, protect other users, or comply with law.

7. Extensions and optional components

The application supports optional extensions, including third-party extensions installed from the marketplace. Extensions request capabilities that you approve at install time — these can include reading your entire indexed corpus and accessing the internet. An extension granted both could transmit your data elsewhere; only grant these capabilities to extensions whose authors you trust. Third-party extensions are provided by their authors under their own terms and licences; we do not review, endorse, or control them. You install and use any extension at your own risk, and we disclaim liability for third-party extensions to the fullest extent permitted by law.

8. Third-party services

The Service relies on, and lets you connect to, services operated by third parties — identity providers (Google, Microsoft), source providers, certificate authorities (Google Trust Services, Let’s Encrypt), hosting and DNS providers, distribution platforms (GitHub, Hugging Face), and the AI clients you authorise (for example Anthropic’s Claude). We are not responsible for the availability, content, or conduct of those third parties, and your use of them is governed by their respective terms. In particular, results returned to an AI client you authorise are subsequently processed by that provider under its own terms.

9. Your local data

The index and any data the application stores on your device are under your control. We cannot access, back up, or recover that data. You are responsible for your own backups. We are not liable for any loss, corruption, or unavailability of data stored locally on your device.

10. Fees

The desktop application is free and needs no account. The remote-access Service is currently provided free of charge while KIAgent is in early release. We intend to offer remote access as a paid subscription (the indicative price is shown on our website). We will not start charging you silently: paid plans will require your express agreement to the price and billing terms at the time you subscribe, you will be able to cancel at any time, and statutory withdrawal rights for consumers will apply and be explained at purchase. If you do not subscribe, your local application keeps working — only remote access is affected.

11. Warranty

To the extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Statutory rights that cannot be excluded remain unaffected. For services provided free of charge, our warranty is in any event limited to cases of fraudulently concealed defects (§ 523, § 524 BGB by analogy).

12. Limitation of liability

We are liable without limitation for damages arising from injury to life, body or health, for damages caused intentionally or by gross negligence, and under the German Product Liability Act (Produkthaftungsgesetz) where applicable.

For slight negligence, we are liable only where we breach a material contractual obligation (a duty whose fulfilment is essential to the proper performance of the contract and on whose observance you may reasonably rely). In that case our liability is limited to the foreseeable damage typical for this type of contract. Any further liability for slight negligence is excluded.

In particular, we are not liable for loss of data stored on your device, for the acts or terms of third-party providers you connect, for the conduct of AI clients you authorise, or for consequences arising from extensions you choose to install.

13. Term and termination

You may stop using the Service at any time: you can release a personal address or unlink a device from within the application or your account page, and you can request deletion of your account by emailing support@localkiagent.com (see the Privacy Policy, section 11, for what happens to your data). We may suspend or terminate your access to the Service if you materially breach these terms, or where required by law. Provisions that by their nature should survive termination — including the warranty disclaimer, limitation of liability, and governing-law clauses — will survive.

14. Changes to these terms

We may update these terms as the Service evolves. We will revise the date above when we do, and we will notify you of material changes by a notice on this site and, where we hold an email address for your account, by email. Your continued use of the Service after a change takes effect constitutes acceptance of the updated terms.

15. Governing law and jurisdiction

These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer-protection provisions of the country in which you have your habitual residence remain unaffected. Where you are a merchant, a legal person under public law, or a special fund under public law, the place of jurisdiction is Berlin, to the extent permitted by law.

16. Severability

Should any provision of these terms be or become invalid, the validity of the remaining provisions is unaffected.
